Terms of Service

We’ve refreshed our Privacy Policy and Data Processing Addendum: we now name Resend as the provider that delivers our emails, corrected our data-hosting location to the EU (Ireland), set out the Article 28 processing details in the DPA, and clarified what account deletion does. Read the details.

1. Agreement

By creating an account, accepting an invitation, or using the Zennic service at app.zennic.dev ("the Service"), you agree to these Terms. If you don't agree, don't use the Service.

2. The Service

Zennic is a collaborative project-management tool for kitchen designers, contractors and their clients. It lets teams track quotes, milestones, photos, documents and messages in one place.

3. Account & eligibility

  • You must be 18 or older to use Zennic.
  • You're responsible for keeping your password secure and for everything that happens under your account.
  • Notify us at [email protected] immediately if you think your account has been accessed without your authorisation.

4. Acceptable use

You agree not to:

  • Use the Service for anything illegal or to harass, threaten or deceive others.
  • Upload malware, attempt to compromise the security of the Service, or use automated tools to scrape data beyond your legitimate use.
  • Impersonate someone else or misrepresent your role on a project.
  • Resell or sublicense access to the Service.

We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.

5. Your content

You keep all rights to the project data, photos, documents and messages you upload ("Your Content"). You grant us a limited licence to host, display, transmit and back up Your Content as needed to operate the Service for you and your project collaborators.

You're responsible for ensuring you have the right to upload Your Content, and that doing so doesn't infringe anyone's rights.

Where Your Content includes personal data about other people - for example your clients, their addresses or photos of their homes - you are the data controller for that data and we act as your processor. Our Data Processing Addendum sets out how we process it on your behalf and forms part of these Terms. We'll provide a counter-signed copy on request.

6. Our intellectual property

The Zennic name, logo, software and design are ours. These Terms don't grant you any rights to our trademarks or to copy or modify the Service itself.

7. Service availability

We provide the Service on a best-effort basis. We aim to keep it running but don't guarantee uninterrupted availability and don't currently offer a formal uptime SLA. The Service may be unavailable during scheduled maintenance, deployment, or due to issues with our sub-processors (Supabase, Cloudflare, etc.). We'll do our best to notify users of planned downtime.

Keep your own copies of anything you can't afford to lose - please don't rely on Zennic as the sole record of critical project documents.

8. Fees and payment

Some plans are paid. This section covers what you pay us for access to the Service. (Money between you and your own designer, contractor or client is separate - see §9.)

  • Fees are as set out in your order confirmation or invoice. Unless stated otherwise, fees are exclusive of VAT or other applicable taxes, which we'll add where they apply.
  • We currently invoice you directly rather than taking card payment in the app. Invoices are payable within 14 days of the invoice date unless your order says otherwise.
  • Paid plans renew automatically for the same period until cancelled. You can cancel at any time, effective at the end of the period you've already paid for - just email [email protected].
  • Fees already paid are non-refundable except where the law requires otherwise. On cancellation you keep access until the end of your current paid period.
  • We may change our fees for a future billing period by giving you at least 30 days' notice before the change takes effect.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied - including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be error-free, secure, or uninterrupted, or that bugs will be fixed.

Zennic isn't a payment processor for your projects. Any deposit, instalment, or invoice you record within the Service for a project is between you and your designer / contractor / client - we're not a party to those transactions and not responsible for them. This is separate from the fees you pay us under §8.

10. Limitation of liability

Nothing in these Terms limits liability that can't be limited under UK law (e.g. for death or personal injury caused by negligence, or fraud).

Subject to that, to the maximum extent permitted by law:

  • We're not liable for indirect or consequential losses, loss of profit, loss of business, loss of opportunity, or loss of data.
  • Our total liability to you for any claim arising from your use of the Service is limited to £100, or the amount you've paid us in the 12 months before the claim - whichever is greater.

11. Termination

  • You can stop using the Service at any time. The Settings page has options to download a copy of your data or delete your account.
  • We can suspend or terminate your account if you breach these Terms or if continuing to provide you the Service becomes unworkable for us.
  • If an invoice is significantly overdue, we may suspend or close your account after giving you reasonable notice. Export your data from the Settings page before then (see the first bullet above) so you keep a copy of anything you need.
  • On deletion, after a 5-day cool-off period we anonymise your account and permanently disable your sign-in. The project content you contributed is deleted on the project's retention schedule, and some project records may be retained for longer in a redacted form where the law requires (UK tax records: 6 years; defective-work claim defence: up to 15 years for residential dwellings). 12. Changes

We may update these Terms as the Service evolves. Material changes will be flagged at the top of this page before they take effect. Continuing to use the Service after that means you accept the new Terms.

13. Governing law

These Terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
